Membership in the Marianas Yacht Club is open to all persons of good character, irregardless of race, religion, or national origin, who are interested in sailing or boating as a sport, and are qualified and eligible for election to membershio, subject to the approval by the Board of Directors as specified in the Marianas Yacht Club by-laws, as follows (relevent to membership):

BY-LAWS

REVISED 1996

 
 

CHAPTER I - MEMBERSHIP

 

SECTION 1. All persons of good character, who are owners of a sailing yacht or power boat or who are interested in sailing and boating as a sport, are qualified and eligible for election to membership subject to approval by the. Board of Directors as herein specified.

 

SECTION 2. Membership classifications. Membership in the MYC shall be. classified as. follows:

 

  1. Regular membership  
  2. Family voting membership  
  3. Junior membership  
  4. Honorary membership  
  5. Resident corporate membership  
  6. Temporary membership  
  7. Non-resident membership  
  8. LifeMembership  
  9. Mariner membership  
  10. Corporatemariner membership

 

All membership shall be entitled use  of MYC facilities and participate in MYC activities. Membership in the MYC, except  for Junior membership, shall entitle the Member to invite guests to use MYC facilities and, in the case of regular member; shall entitle his or her spouse and children under the age 18 years to the regular use of MYC, facilities and the right of participation in -MYC activities.

 

2.1   Regular member means a person 18 years of age or older qualified for and elected to membership in the MYC. The person shall have been resident for a-Period not  less than four months; A regular member shall be entitled. to one vote and may hold office,. provided that such person is a member in good standing.

 

2.2    Family Voting Member means a person 18 years or older who is the who is the spouse of a regular  member and-who is qualified for and elected to membership in the MYC. A family voting member  shall be entitled to one vote in addition to that held by his or her  spouse and may hold office, provided that such person is a member in good standing.   Applications for family voting membership must designate one spouse as the regular member. 

 

 2.3  Junior member means a person between 10 and 18 years of age, or to the age of 22 if the person is a full time student, who is qualified and elected to junior membership in the MYC. A junior member shall. not be entitled to vote or hold office.

 

2.4  Honorary member means a person who has performed outstanding service to the MYC and who has been so designated and approved by unanimous vote of the Board. of Directors at a regular or special meeting of the Board of Directors. Said membership will be for a period of two (20 years). An honorary member shall not be entitled to vote or hold office.

 

2.5  Resident corporate member means-any legally formed corporation or business entity bolding a valid Guam business license and actively conducting business on Guam which desires to provide MYC membership privileges to its employees, Not more than.one vote or more than one person from a resident corporate member shall hold office.

 

2.6   Temporary member means a person 18 years. of age or older who desires MYC membership. privilege for three calendar months in any one year. Upon Board approval, membership may be renewed for an additional three months. A Temporary member shall not be entitled to vote or hold office.

 

2.7   Non-resident member means any regular member who will be absent from Guam or the Mariana Islands for not less than one year and who submits written request for non-resident members status.. A non-resident members shall be entitled to receive all .MYC. publications. and. notices distributed to. the general membership, shall' be entitled to reinstate his or her previous membership without penalty; additional Fees or loss of seniority and shall be entitled to use MYC facilities during visits to the area not exceeding thirty days in any one calendar year A non-resident member shall not be entitled to vote or hold office.

 

2.8 - Life member means a regular member, or family voting member, or past regular member. 18 years of age of  or older, who has rendered distinguished service of fundamental importance to the existence and aims of the  MYC.   Life membership shall be awarded only on unanimous vote of the Board of Directors and must be approved by 2/3 vote of the MYC voting membership at a regular and called meeting. A  life member- shall entitled to vote providing the life member or proxy holder is present at the meeting at which the vote is taken and may hold office.

 

2.9   Mariner member means a person 18 years of age or older who is not a resident of the Territory of Guam. A mariner member shall not be entitled to a vote, nor be entitled to hold office until such time that said member establishes residence within the Territory of Guam and requests conversion to regular membership.

 

2.10       Corporate mariner member means any business entity, corporation or yachting organization lawfully organized and established under the laws of any state of the United States or other territory or possession thereof, or under the laws of any foreign country or political subdivision thereof, which desires to provide MYC membership privileges to its people. A corporate mariner membership shall entitle one resident office-employee so designated by said corporate mariner member to one vote, providing the corporate mariner member or proxy holder is present at the meeting at which the vote is taken, but such employee shall not be entitled to hold office until such time that such employee establishes residence within the Territory of Guam.

 
 

SECTION 3.   Application for membership. Prospective candidates for membership shall submit applications in wilting to the membership committee on forms provided by the MYC.    Applications for membership must be approved by a quorum of the Board of Directors at a regular or special Board of Directors meeting.

 
 

SECTION. 4.   Membership: transferability, termination: -Membership the -MYC is not transferable and shall forfeited upon voluntary termination, death, or expulsion of a member except that in the case of death of a regular member, the spouse of that member shall assume the rights and privileges of regular membership as defined in Section 2.1 of this chapter. Any property interest, including all fees and dues paid and all rights and privileges shall cease upon termination of membership:

 

4.1   Voting rights and qualification for office: transferability.: A regular member may upon written notice to the Board of Directors transfer his or her voting rights and qualification hold office to his or her souse.   Such notice shall state the name of the spouse upon whom voting rights and eligibility to hold office are conferred and the time during which the transfer is to remain in effect. Notices not complying with the requirements of this subsection shall be rejected.  

 

4.2     Conversion to regular membership on dissolution of marriage. A spouse holding family voting membership pursuant to Section 2.2 of this chapter and who thereafter becomes divorced or legally separated flow the spouse holding regular membership, may apply to the Board of Directors for regular membership. In such cases, the applicant shall not be required to pay any additional initiation fee, but shall thereafter be required to pay monthly dues at the rate established for regular members.

 

 

4.3   Junior membership conversion. Junior members and the sons or daughters of regular members upon reaching 18 years of age may become regular members of the MYC without payment of an initiation fee, but shall be required to pay regular membership dues on approval of their membership by the Board of Directors.

 
 

SECTION 5. Resignation. A member may resign by notifying, the Board of Directors in writing. A. member signing in good standing shall be entitled to apply for reinstatement on payment of a $25.00 fee.

 

SECTION 6. Leave. A member in good standing may submit a written request for leave of absence to the Board of Directors. A quorum of the Board of Directors may, at their discretion, grant a member a leave of absence without payment of dues for a period of not less than three months and not more than three years.

 

SECTION 7. Current mailing address. It shall be the responsibility of every MYC member to provide the MYC Secretary with his or her current mailing address. Any member failing to comply with this section shall be conclusively presumed to have designated the MYC Secretary as his agent for the

 

8.1   For the purposes of these By-Laws, a
resident means a person who has established bonafide residence in the Territory of Guam for a period of not less than four months.

 

8.2  A member in good standing means a
duly initiated member whose dues . account is current

 
 
 
 

CHAPTER II

INITIATION FEES AND DUES

 

SECTION I. Initiation fees for MYC membership shall be:

 

1.1  Regular members - Such fee not less than $100.00 no more than $500.00 as the Board by a 213 majority vote may from time to time establish, provided that before the Board votes upon any such adjustment, written notice shall be given to the membership not less than 21 days prior to the meeting at which the adjustment is to be considered.

 

1.2   Family voting member- Such fee not less than $100.00 no more than $500.00 as the Board by a 2/3 majority vote may from time to time establish, provided that before the Board -votes upon any such adjustment, written notice shall be given to the membership, not fess than 21 days prior to the meeting at which the adjustment is to be considered.

1.3  Junior member - $20.00

1.4  Honorary member - No fee.

1.5  Resident Corporate member - $5,000

1.6  Temporary member - No fee

1.7   Non-resident member – Not applicable

1.8  Life member - Not applicable

1.9  Mariner member – such fee not less than $100 not more than $500 as the Board by a 2/3 majority vote may from time to time establish, provided that before the Board votes upon any such adjustment, written notice shall be given to the membership not less than 21 days prior to the meeting at which the adjustment is to be considered.

1.10   Corporate Mariner Member - $5,000

 

SECTION 2. ;  Initiation Fees. Initiation fees shall be payable in advance or for those applicants requesting deferred payment, payment will be made as follows:

 

2.1 Deferred payment plan. Under the deferred payment plan and upon written request of the applicant, the initiation fee will be divide into four equal increments which shall be payable as follows: 25% with the membership application and 25% payable each of the following three calendar quarters,.

 

SECTION 3. Delinquency on deferred payment plan. A member who elects the deferred payment plan and who thereafter becomes delinquent one month in paying the. quarterly increments or whose dues shall be in arrears for more than ninety days, shall not be considered in good standing and shall have no vote in the meetings of the Marianas Yacht Club. The member shall be notified by the Secretary of the delinquency and said name shall be posted on the MYC bulletin board.

 

SECTION 4. Dues for MYC membership shall be as follows.

1.     Regular member - $100 per quarter

2.       Family voting member - No dues

3.       Junior member - $5.00 monthly

4.      Honorary member - No dues

5.      Resident corporate member $100   per designated employee per quarter

6.          Temporary. member - $100 monthly w/mooring, $50 monthly w/out mooring.

7.        Non-resident member - $50.00 annually 8.        Life member- No dues.

9.        Mariner member - $100 per quarter

10.     Corporate mariner member - $100 per designated, officer/employee per quarter

 

SECTION-5. Monthly dues when payable..Monthly dues .shall become due and payable upon approval of the membership application by the Board of Directors and shall be payable quarterly in advance. Dues for non-resident members• shall be payable yearly in advance.

 

SECTION 6. Termination for delinquency. A membership shall be subject to termination by action of the quorum of the Board of Directors if a member’s account is delinquent for ore than ninety (90) days': The treasurer shall submit quarterly to the Board of Directors a list in writing• of such delinquent terminated pursuant to this section may be reinstated on favorable approval of such members' application of reinstatement by a quorum of the Board of Directors. Application for reinstatement must be accompanied by payment of all delinquent dues and initiation fees together with the ten dollar ($10.00) penalty. Delinquent members shall be notified by the Secretary and their names posted on the MYC bulletin board. Members delinquent for one  (1) year shall automatically be terminated.
